1. The agreement

These terms govern your use of the Sqwig component, website, and services ("Sqwig"). Sqwig is a product of Learn Wise Solutions LLC, a Pennsylvania limited liability company ("we," "us"). You agree to these terms by doing any of the following: installing or using the component, clicking to accept these terms, or completing a purchase or entering into an order that references them — whichever happens first. If you accept on behalf of a company or other organization, you represent that you have the authority to bind it, and "you" means that organization.

Order of precedence. In the event of a direct conflict between documents, the order of precedence is: (1) these Sqwig Terms of Service, (2) the Sqwig Free License (for unpaid usage), and (3) the LICENSE.txt file shipped in the package.

2. License grant

Subject to your plan and these terms, we grant you a non-exclusive, non-transferable license to integrate the Sqwig component into your application(s) and serve it to your end users:

What counts as an application: a distinct product or service, identified by its primary domain(s). Staging, development, and test environments of a licensed application do not count as additional applications. Unlimited developers may work with Sqwig under any plan.

Web applications only. Licenses cover web applications served from a licensed domain. Packaged application shells — such as Capacitor, Cordova, Ionic, or Electron builds, and browser extensions — are not a licensed environment: Sqwig continues to work in them on the Free tier, with the "Powered by Sqwig" badge. 4. Fees and renewals

Paid plans are billed as stated at purchase. Plans do not auto-renew: a renewal is a new purchase you choose to make, so there is no recurring charge to cancel and no subscription to manage. If we ever offer auto-renewal, it will be optional and can be switched off at any time. Your price is fixed for the term you buy, and the pricing published on our pricing page on the day you purchase or renew governs that term for the whole of its length. Sqwig is priced per application: there are no per-developer or per-seat fees, and we do not meter usage of the editor or its spellchecker.

All sales are final. The Free tier is the full component — evaluate Sqwig in your application for as long as you need before buying; paid plans change only the badge, the commercial license, and the support channel. Because everything a paid plan adds can be verified before purchase, we do not offer refunds: fees already invoiced are non-refundable. Purchases are processed by Stripe as our merchant of record. Stripe — through its consumer-payments entity Link — is the seller of record for your purchase, calculates and remits any applicable sales tax or VAT, and handles billing errors, duplicate charges, refunds, and chargeback disputes under its own buyer policy. Your card statement will show a charge beginning LINK.COM* rather than "Sqwig". Except where required by applicable law or granted by Stripe under its buyer policy, all sales are final.

License keys are signed tokens verified offline on your users' devices — Sqwig operates no license server and receives no verification traffic. A key is valid for the term you purchased. After that it stops removing the badge, and continued use is governed by the Sqwig Free License until you renew or set license: "free".

Expiry never breaks your application. The component keeps working in full — every feature, on every build you have deployed. What changes is the badge: it returns to reading "Powered by Sqwig · unlicensed" until you make a choice. We do not disable, degrade, or remotely switch off software you have shipped, and there is no license server that could.

5. Support

Support is included with every paid plan and is not a separate purchase. Channels scale with plan: email (Starter), and priority support with a named contact (Enterprise), as described on the pricing page at the time of purchase. The Free tier is self-serve: the documentation is publicly available, and no support channel is included.

Response expectations published on the pricing page are targets for first response, not resolution times, and are not service-level guarantees; no service credits apply.

6. Privacy and user content

The base Sqwig component processes your end users' text entirely on their devices; we do not receive it and claim no rights to it. See the Privacy Policy. Any future optional feature that transmits text will be opt-in and clearly labeled before activation.

7. Intellectual property

Sqwig, its code, dictionaries as assembled, brand, and documentation remain our property (including open-source components used under their respective licenses, which are acknowledged in the distribution: bundled components and their licenses are listed in THIRD_PARTY_LICENSES.txt inside the npm package, and the SCOWL word-list license ships beside the dictionary files). Your application, your content, and your users' content remain yours.

8. If Sqwig is accused of infringement

If the component is, or in our reasonable opinion is likely to become, the subject of a third-party intellectual-property claim, we may at our option and expense: (a) procure your right to keep using it; (b) replace or modify it so it is non-infringing without materially reducing functionality; or (c) if neither is commercially practicable, terminate the affected license and refund the prorated fees for the unused portion of the current term — the one exception to "all sales are final." This section states our entire obligation, and your exclusive remedy, for third-party intellectual-property claims relating to the component. Broader indemnification is available on negotiated Enterprise order forms.

9. Warranty disclaimer

We work hard on quality — but, to be conspicuous about it: SQWIG IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Spellcheck suggestions are automated aids and may be imperfect; you are responsible for your application's content. The component's HTML output is produced by a whitelist sanitizer that we test extensively, but no sanitizer's output is warranted safe for every storage or rendering context — the defense-in-depth guidance in our documentation is guidance, not a warranty, and your application remains responsible for its own security boundaries.

10. Limitation of liability

To the maximum extent permitted by law: NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT WILL LEARN WISE SOLUTIONS LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE FEES PAID BY YOU TO LEARN WISE SOLUTIONS LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. WHERE NO FEES HAVE BEEN PAID IN THAT PERIOD, THIS LIABILITY WILL NOT EXCEED US $100.

11. Termination

You may stop using Sqwig at any time; with no auto-renewal there is nothing to cancel — simply let your term lapse (installed versions keep working, as described in Section 4). We may suspend or terminate a license that is materially breached, after notice and a reasonable opportunity to cure where practicable. Sections 6–10 and 12–13 survive termination.

12. Changes, successors, and assigns

We may update these terms and our pricing. The current version is always published on this page with the date it took effect. Changes never apply during a term you have already paid for — the version in effect on the day you purchase or renew governs that term for the whole of its length.

Because nothing auto-renews, every renewal is a purchase you choose to make: at that point the then-current terms and pricing apply, and you can read both before you decide. If you use Sqwig without purchasing, the version that governs you is the one shipped in the release you are running, as the Sqwig Free License (FL 02) and the LICENSE.txt in your package both state.

Successors and assigns. These terms bind and inure to the benefit of the parties and their respective permitted successors, acquirers, and assigns. Any acquirer of Learn Wise Solutions LLC or of the Sqwig assets takes on our obligations to existing license holders for the remainder of the terms they have paid for. New pricing may be offered to customers who purchase after such a transaction; it cannot be applied to a term already paid for.

13. Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law rules, and disputes will be resolved in the state or federal courts located in Pennsylvania.
